By accessing or using our website (https://www.diginote.io), mobile applications, and related services (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Services.

DigiNote provides a digital documentation platform that enables users to:

• Create, design, and manage smart digital forms and documents
• Scan and digitize handwritten content from physical notebooks
• Automate workflows and integrate with third-party services
• Store, organize, and share documents securely
• Access AI-powered features for document processing and analysis

To use certain features, you must:

• Be at least 13 years old (or the age of digital consent in your jurisdiction)
• Provide accurate, complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

You are responsible for all activities under your account.

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Use the Services for spam, phishing, or fraudulent activities
• Interfere with or disrupt the Services or servers
• Reverse engineer, decompile, or disassemble the Services

You retain ownership of content you upload ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to:

• Store, process, and display your content to provide the Services
• Create backups and copies for service continuity
• Analyze anonymized data to improve our Services

You represent that you have all necessary rights to upload your content and that it does not violate any laws or third-party rights.

All rights, title, and interest in the Services (excluding User Content), including software, designs, trademarks, and documentation, are owned by DigiNote, Inc. or our licensors. These Terms do not grant you any rights to use our trademarks or branding.

Our Services may integrate with third-party services (e.g., Google Drive, Microsoft, Stripe). Your use of these integrations is subject to their respective terms and privacy policies. We are not responsible for third-party services.

Certain features may require paid subscriptions. By subscribing:

• You agree to pay all applicable fees
• Subscriptions auto-renew unless cancelled before the renewal date
• Refunds are provided in accordance with our refund policy
• We may change pricing with reasonable notice

We may suspend or terminate your access if you violate these Terms. You may delete your account at any time. Upon termination:

• Your license to use the Services ends
• We may delete your data after a reasonable retention period
• Provisions that should survive termination will remain in effect

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGINOTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

You agree to indemnify and hold harmless DigiNote, Inc. and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

We may update these Terms from time to time. Changes will be posted with an updated effective date. Continued use of the Services after changes constitutes acceptance of the new Terms.
